Sup Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and DPM Ventures Group ("Sup," "we," "us") governing your use of the Sup app and website (the "Service"). Sup is an anonymous social dining service that introduces you to a small group of people you have not met before for a meal.
Please read the sections on assumption of risk, food and venue, disclaimers, limitation of liability, release, and dispute resolution carefully. They affect your legal rights, including how disputes are resolved and how our liability is limited.
By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility and your promises
To use Sup, you represent and warrant that:
- You are at least 18 years old and legally able to enter into a contract.
- You are using Sup as a consumer, for personal and not commercial purposes.
- The information you give us is true, accurate, and current, and you will keep it up to date.
- You have not been convicted of, and are not currently charged with, a violent, sexual, or other serious criminal offense.
- You are not on any sex-offender registry.
- You have not previously been banned or removed from the Service, and you will not create more than one account or use the Service to evade a suspension or ban.
If any of these stops being true, you must stop using the Service.
2. Your account
You are responsible for keeping your login credentials confidential and for all activity that happens under your account. Tell us right away at dpmventuresgroup@gmail.com if you believe your account has been accessed without your permission. We are not liable for losses caused by someone else using your account with or without your knowledge.
3. What Sup is, and what it is not
Sup is an introduction service. We use your answers to match you with other people and to arrange a table at a restaurant. That is the extent of our role.
You understand and agree that:
- We do not employ, supervise, direct, or control the people you are matched with. They are independent individuals, not our agents.
- We do not conduct background checks or criminal-history checks on diners, and we do not verify their identity, character, or intentions, unless we clearly and specifically state otherwise in writing.
- We do not attend, host, chaperone, or supervise dinners.
- We do not guarantee the number of people who will attend, the mix of ages, backgrounds, or any other characteristic of a table, and you may occasionally be matched with someone you have met before.
- Any interaction you have with another diner, before, during, or after a dinner, is solely between you and that person.
You are responsible for your own decisions and safety when interacting with other people through the Service.
4. Subscriptions, pricing, and automatic renewal
Please read this section carefully. It contains important information about automatic renewal and how to cancel.
Access to Sup requires a paid subscription.
- Billing. Subscriptions are sold and billed through the Apple App Store [and/or the Google Play Store]. Those stores process your payment under their own terms, and we do not receive or store your full payment card details.
- Automatic renewal. Your subscription renews automatically at the end of each billing period at the then-current price, and your payment method is charged, unless you cancel at least 24 hours before the period ends. This continues until you cancel.
- Your consent. By subscribing, you affirmatively agree to these recurring charges and to the automatic renewal described here.
- Price changes. We may change subscription prices. If a change affects your renewal, we will give you advance notice, and the new price applies only after the notice period and to future billing periods.
(California residents: this section is intended to comply with California's Automatic Renewal Law, which requires clear disclosure of automatic-renewal terms, your affirmative consent, and an easy way to cancel. Have counsel confirm the exact wording and the post-purchase acknowledgment meet current requirements.)
5. Cancellation and refunds
- How to cancel. You can cancel anytime through your Apple App Store [or Google Play] subscription settings. Cancellation takes effect at the end of the current billing period, and you keep access until then.
- Refunds. Payments are non-refundable except where required by law. Because your subscription is billed through the app stores, refund requests are handled by Apple [or Google] under their policies, not by us.
6. Attendance, no-shows, and late cancellations
When you reserve a seat, other people are matched around you and a table is booked, so not showing up affects real people and the restaurant.
- You agree to attend dinners you have confirmed, or to cancel with reasonable notice through the app.
- [Optional, if you choose to enforce it: Repeated no-shows or last-minute cancellations may result in a fee of [AMOUNT / PERCENT] and, after [NUMBER] occurrences within [PERIOD], suspension or removal from the Service. Any such fee must be clearly disclosed before it is charged.]
7. The dinner: food, allergies, and the venue
Sup arranges a table at a third-party restaurant. We do not prepare, serve, or inspect food, and we do not operate the venue.
- Allergies and dietary needs are your responsibility. You are responsible for checking ingredients and communicating any allergies or dietary restrictions directly to the restaurant. Any dietary preferences you share with Sup are used only as a guide for matching and venue selection and are not a guarantee.
- The restaurant, not Sup, is responsible for the preparation, safety, and quality of any food and drink served.
- Any price range or budget we mention is indicative only, and the cost of your food and drink at the dinner is not included in your subscription and is your responsibility.
- We do not guarantee the quality, service, or availability of any venue.
To the fullest extent permitted by law, Sup is not responsible for allergic reactions, foodborne illness, or any other harm arising from food, drink, or the venue.
8. Community guidelines and prohibited conduct
To use Sup you agree that you will not, and will not attempt to:
- Harass, threaten, stalk, intimidate, or abuse any other person.
- Engage in unwanted sexual advances, sexual misconduct, or any non-consensual contact.
- Discriminate against or express hatred toward others based on race, ethnicity, national origin, religion, disability, sex, gender identity, sexual orientation, age, or any other protected characteristic.
- Use the Service for anything illegal, or to facilitate violence, fraud, or harm.
- Impersonate anyone, or misrepresent who you are.
- Bring an uninvited guest or third party to a dinner.
- Solicit, promote a business, recruit, or advertise to other diners without our permission.
- Share another person's private information without their consent.
- Attempt to identify, track, or contact another diner outside the Service against their wishes.
These are our Community Guidelines. Breaking them is a breach of these Terms and may result in immediate removal from the Service and, where appropriate, a report to law enforcement.
9. Assumption of risk
Meeting people you do not know, in person, carries inherent risks. To the fullest extent permitted by law, you knowingly and voluntarily accept those risks when you choose to attend a Sup dinner or otherwise interact with people you meet through the Service. You agree to use good judgment and take sensible precautions, including meeting in the public restaurant setting arranged by Sup, and to report anyone who makes you feel unsafe.
10. Reporting, enforcement, suspension, and appeals
If someone behaves inappropriately, please report it to us at dpmventuresgroup@gmail.com or through the in-app reporting tools. We take reports seriously and may investigate, warn, suspend, or permanently remove anyone, at our discretion.
We may suspend or terminate your access at any time, with or without notice, including for any conduct we believe violates these Terms or harms other users or the Service. If you believe a suspension or removal was a mistake, you may appeal by contacting us at dpmventuresgroup@gmail.com within [7] days.
At the same time, we do not and cannot monitor every interaction, and we have no obligation to do so. We are not responsible for the conduct of any user, whether online or in person, and enforcement of these Terms is at our sole discretion. You may stop using the Service and close your account at any time.
11. Your content and promotional use
If you send messages, feedback, or other content through the Service, you keep ownership of it, but you grant us a non-exclusive, worldwide, royalty-free license to use, store, and display it as needed to operate and improve the Service.
We will only use your name, image, or likeness in our marketing if you give us separate, opt-in permission. Attending a dinner does not by itself grant us the right to use your image for promotion.
12. Our intellectual property
The Service, including the Sup name, logo, software, design, and content we create, is owned by us and protected by intellectual-property laws. We grant you a limited, personal, non-transferable, revocable license to use the Service for its intended purpose. You may not copy, modify, distribute, reverse-engineer, or create derivative works from the Service without our written permission.
13. Disclaimer of warranties
The Service is provided "as is" and "as available," without warranties of any kind, express or implied, to the fullest extent permitted by law. We do not warrant that the Service will be uninterrupted, secure, or error free, or that any match, dinner, or interaction will meet your expectations or be safe, enjoyable, or suitable.
14. Release
To the fullest extent permitted by law, you release Sup, and our officers, employees, and agents, from any claims, demands, damages, or liabilities of every kind arising out of or connected to:
- the acts, omissions, or conduct of any other user, whether during a dinner or otherwise;
- food, drink, allergic reactions, or the venue; and
- any dispute, injury, or harm arising from your interactions with people you meet through the Service.
This release does not apply where the law does not permit it, and nothing in these Terms limits liability that cannot be limited by law, such as liability for our own gross negligence, fraud, or willful misconduct, or for death or personal injury caused by our negligence where applicable law prohibits excluding it.
15. Limitation of liability
To the fullest extent permitted by law:
- We will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill.
- Our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us in the twelve months before the claim, or one hundred dollars ($100).
Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
16. Indemnification
You agree to defend, indemnify, and hold Sup harmless from any claims, damages, losses, and expenses, including reasonable legal fees, arising from your use of the Service, your conduct toward other people, your breach of these Terms, or your violation of any law or of anyone's rights.
17. Dispute resolution and arbitration
Please read this section carefully. It affects how disputes between you and Sup are resolved and may limit your ability to sue in court or participate in a class action.
Except where prohibited by law, you and Sup agree to resolve any dispute relating to the Service through binding individual arbitration rather than in court, and you and Sup waive the right to a jury trial and the right to participate in a class or representative action. [This clause must be drafted to comply with the Federal Arbitration Act and applicable state law, including consumer-arbitration rules, fee allocation, mass-arbitration handling, and any required opt-out. Have counsel finalize it.]
18. Governing law
These Terms are governed by the laws of the State of California, without regard to conflict-of-laws rules, except where the arbitration provision or applicable consumer law provides otherwise.
19. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will notify you through the app, the website, or by email at least [14] days before they take effect. Continuing to use the Service after changes take effect means you accept the updated Terms.
20. General
- Entire agreement. These Terms, together with our Privacy Policy, are the entire agreement between you and Sup about the Service and replace any earlier agreements.
- Severability. If any part of these Terms is found unenforceable, the rest stays in effect.
- No waiver. If we do not enforce a right, that is not a waiver of it.
- Assignment. You may not transfer your rights under these Terms. We may transfer ours in connection with a merger, acquisition, or sale of assets.
- Force majeure. We are not responsible for delays or failures caused by events beyond our reasonable control.
- Apple and app stores. If you use Sup through the Apple App Store [or Google Play], additional store terms apply, and the store provider may be a third-party beneficiary of these Terms with the right to enforce them. [Confirm and include Apple's required EULA provisions.]
